Terms of Service

These terms and conditions apply to every quote, assignment and agreement between Vince Online Marketing and the client, unless agreed otherwise in writing.

1. Definitions

• Contractor: Vince Online Marketing, a sole proprietorship registered with the Dutch Chamber of Commerce under number 68190956.
• Client: the natural or legal person who enters into an agreement with the Contractor.
• Agreement: any arrangement for the provision of services by the Contractor to the Client.

2. Applicability

These terms apply to all offers, quotes and agreements of the Contractor. Deviating arrangements are only valid when laid down in writing.

3. Quotes and formation of the agreement

Quotes are without obligation and valid for 30 days, unless stated otherwise. The agreement is formed at the moment the quote is accepted by the Client in writing or by email.

4. Performance

The Contractor carries out the work to the best of its insight and ability, in accordance with the standards of good craftsmanship. The arrangement is a best-efforts obligation, not an obligation to achieve a specific result, unless expressly agreed otherwise.

5. Prices and payment

Unless stated otherwise, prices are exclusive of 21% VAT. Invoices are to be paid within 14 days of the invoice date. If the payment term is exceeded, the Client is in default by operation of law and statutory commercial interest is due.

6. Cancellation and termination

Ongoing assignments can be terminated by both parties in writing, observing a notice period of one calendar month, unless a different term has been agreed in the agreement. Work already performed will be charged.

7. Liability

The Contractor is liable for direct damage that is the direct and exclusive result of an attributable shortcoming. Liability is limited to the amount paid out by the professional liability insurance, or in the absence thereof to the amount of the invoice relating to the assignment. The Contractor is never liable for indirect damage, consequential damage, lost revenue or lost profit.

8. Intellectual property

All intellectual property rights to works created by the Contractor rest with the Contractor. After full payment of the agreed fee, the Client receives a right of use for the agreed purpose.

9. Confidentiality

The parties are obliged to maintain confidentiality of all confidential information they have obtained from each other in the context of the agreement.

10. Personal data

Our Privacy Policy applies to the processing of personal data. For services in which the Contractor acts as a processor, a separate data processing agreement is concluded.

11. Applicable law and disputes

Dutch law applies exclusively to all agreements. Disputes are submitted to the competent court in the district of Noord-Holland.
